Terms of Service

These Terms of Service ("Terms") govern access to and use of Cortexium, including
cortexium.io
, app.cortexium.io
, APIs and related services (the
"Service"). The Service is provided by techbase ("techbase", "we").

1) Accounts & Eligibility
- You must be at least 18 and authorized by your organization.
- Keep credentials confidential; you are responsible for activities under your account.
- Provide accurate information and keep it current.
2) Subscriptions, Fees & Taxes
- Paid plans bill in advance and auto‑renew unless canceled.
- You authorize recurring charges and will keep payment details current.
- Fees/features/limits may change with reasonable notice; continued use after the effective date constitutes acceptance.
- Fees exclude taxes; you are responsible for applicable taxes.
- Except as required by law or our express refund policy, fees are non‑refundable.
3) Acceptable Use
Do not misuse the Service or interfere with its operation. Prohibited activities include: illegal conduct; IP infringement; unauthorized access; malware; spam; building competing datasets from our outputs or training models on our outputs without written consent; and excessive automated requests that degrade the Service. Do not use the Service for high‑risk activities where failure could cause death, injury, or severe damage.
4) Your Content & Licenses
- Ownership. You retain ownership of data you submit ("Customer Content").
- License to us. You grant us a worldwide, non‑exclusive license to host, process, transmit, display, and create temporary copies of Customer Content as needed to provide, maintain and secure the Service and comply with law.
- AI/model features. Certain features may transmit Customer Content to third-party model providers to generate outputs you request; use of those features is optional and subject to our DPA and Subprocessors page.
- Feedback. We may use feedback without restriction and without obligation to you.
5) Intellectual Property
The Service (software, documentation, logos and content other than Your Content) is owned by techbase or its licensors. No rights are granted except as expressly stated.
6) Confidentiality
Each party may receive the other party’s non‑public information. The receiving party will use it only to fulfill these Terms and protect it with reasonable measures. Legally required disclosures are permitted with prompt notice where lawful.
7) Data Protection
- Roles. For account/website/marketing data we act as controller as described in the Privacy Policy. For Customer Content we generally act as processor under our Data Processing Addendum (DPA) (incorporated by reference).
- Security. We maintain appropriate technical and organizational measures designed to protect Customer Content.
- Subprocessors. We use subprocessors listed on our Subprocessors page and will provide advance notice of material changes as described there.
8) Third‑Party Services
The Service may interoperate with third‑party products. We are not responsible for third‑party terms, policies, or performance. Your use of third‑party products is at your discretion.
9) Warranties & Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and that outputs from AI features will be accurate or complete. You are responsible for reviewing model outputs.
10) Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data, even if advised of the possibility. Except for (a) unpaid fees, (b) breach of Section 6 (Confidentiality), (c) IP infringement/misappropriation, or (d) damages that cannot be limited under applicable law (e.g., willful misconduct or gross negligence), each party’s aggregate liability is limited to the amounts paid by you for the Service in the 12 months before the event.
11) Indemnities
- By You. You will defend and indemnify us against third‑party claims arising from your Customer Content or your violation of these Terms.
- By Us. We will defend and indemnify you against third‑party claims that the Service, as provided by us, directly infringes a third party’s IP right, provided you promptly notify us and cooperate. Our obligation does not apply to claims based on combinations not supplied by us, your modifications, or use contrary to documentation.
12) Suspension & Termination
We may suspend/terminate for material breach, security risk, non‑payment, or legal requirement. You may terminate any time by canceling your subscription. Upon termination: (i) your right to use the Service ends; (ii) we’ll use commercially reasonable efforts to make a reasonable export of your Customer Content available for a limited time (typically 30 days), unless legally prohibited; and (iii) sections intended to survive will continue.
13) Governing Law & Venue
Danish law applies. Courts in Denmark have exclusive jurisdiction.
14) Export & Sanctions
You will comply with applicable export control and sanctions laws and represent that you are not on any restricted list.
15) Changes
We may update these Terms; for material changes we will provide reasonable notice (e.g., email or in‑app). Continued use after the effective date constitutes acceptance.
16) Miscellaneous
- Assignment permitted by either party to an affiliate or in connection with a merger or sale of substantially all assets; otherwise requires consent.
- Notices will be sent to your account email; notices to us must be sent to support@cortexium.io.
- Force majeure applies to events beyond reasonable control.
- These Terms (with orders, Privacy Policy and DPA) form the entire agreement.
